MEETING MINUTES
NORTHPORT WASHINGTON HISTORICAL SOCIETY
May 23, 2017

CALL TO ORDER
President Jael Regis called the meeting to order at 5:07 p.m.


AGENDA
The agenda was reviewed. MSP to approve the agenda with no additions or corrections.


ATTENDANCE
Attending were President Jael Regis, Treasurer Jada Regis and Secretary Rose Kalamarides. Also attending were Rick Scoles, Diane Wilson, Janet Cwalinski, Tom Graham, Rosanna Currier, Paul Currier, Beverly Chapman, Ann Van Dielen, Beverly Maholovich, Ralph Pierce, Art Paine, Jim Murphy and Heidi Murphy


APPROVAL OF MINUTES
President Jael Regis read the minutes of the meeting of April 25, 2017. There were several scrivener’s errors identified.


MOTION
MSP to approve the minutes of April 25, 2017, as amended.


TREASURER’S REPORT
Jada Regis presented the Treasurer’s report, for the period April 16, 2017 to May 15, 2017, indicating that with revenue of $425 and no expenses, the balance in the account as of May 15, 2017, was $4,698.71.


MOTION
MSP to approve the Treasurer’s Report of May 23, 2017, as presented.


OLD BUSINESS


Gallo House Project Report:
Jael Regis reviewed the counteroffer from T.J. Gallo; $45,000 with 5% down and a 60 day close. The Society discussed the offer and reached a consensus; to counter this offer at $41,500, with 5% down and a 90 day close, contingent on securing an agreement on the future purchase of the neighboring lots owned by Jerry and Dinah Gallo.






Audit of Financial Records:
Ann Van Dielen reported on the progress of the audit of the financial records. She also volunteered to purchase Quickbooks for the Society; $50 renewable each year. She explained that through TechSoup, non-profits are offered this product at a reduced rate. She said she registered with TechSoup and we have access to software and services


Review Member List:
Rose Kalamarides reviewed the Membership list and encouraged renewal. Several attendees coughed up their small annual fee and one even managed to have someone else pay.


Face Board Completion Report: Jada said he painted the back of the board and it could now be installed next to the Legion’s kiosk.


NEW BUSINESS


Banner for Gallo House:


MOTION
MSP to approve no more than $50 for a banner to hang on the house, once the purchase of the Gallo House is in place, to announce the project.


Attorney Meeting:
Jael, Jada and Rose planned to meet with Attorney, Charlie Scheurman Thursday to begin drafting the purchase agreement on the Gallo House and discuss legal issues regarding the Society’s relationshop with the Town of Northport when they own the House.


City Liaison:
The body discussed the ongoing discussion with the Town of Northport regarding the Gallo House and reached a consensus.


MOTION
MSP to appoint Jada Regis as the sole liaison between the Historical Society and the Town of Northport.


Washington State Charitable Organization:
Ann Van Dielen reported on a requirement that the Society must be a registered charitable organization with the office of the Secretary for Washington if we raise more than $50k annually.


Northport Pioneer Book:
Jael Regis indicated that there were very few Pioneer Books and an order needed placed.


MOTION
MSP to approve the purchase of 30 Northport Pioneer books.


Museum & Smelter Monument Clean Up: Jael requested members come on Thursday, May 25, at 5:00 p.m. to the museum on Columbia Avenue to clean the museum and then to the smelter monument to clean the gardens in preparation for Memorial Day.


Tell a Northport Story:
Society members were encouraged to bring a historical story about Northport to share. Several were shared along with a few laughs.


ANNOUNCEMENTS
Society members who were so inclined were invited to tour the Gallo House immediately following the meeting.


ADJOURNMENT
MSP to adjourn meeting at 6:05 p.m.


The next scheduled meeting will be June27, 2017, Tuesday at 5:00 p.m. at the Christian Ed Building.
